NOTICE IS HEREBY GIVEN that the 2015 Annual General Meeting of Triathlon Australia Limited will be conducted at the following time and location:

Notice
Pursuant to Rule 48 of the Constitution of Triathlon Australia, notice of a general meeting must be given to State and Territory Triathlon Associations (STTAs), Affiliated Clubs, Directors of Triathlon Australia and the Auditor of Triathlon Australia.
Notice to Individual Members in accordance with the Constitution is deemed to be given by notice provided to the STTA of that Individual Member.
Attendance, Delegates and Voting
Pursuant to Rule 25, each STTA represented at the Annual General Meeting is entitled to one (1) vote.
Pursuant to Rule 19, each STTA must appoint one delegate to represent it and attend, debate and vote at the meeting for and on behalf of the STTA. The delegate must:
(a) Be an Individual Member of the STTA that appoints that Delegate;
(b) Be appropriately empowered by the appointing STTA to consider, make decisions and vote at the meeting on its behalf; and
(c) Not be a Director of Triathlon Australia Limited.
Pursuant to Rule 19.2, each STTA shall, at least 48 hours prior to the Annual General Meeting, advise the Chief Executive Officer of its appointed Delegate.
Pursuant to Rule 12.1 Affiliated Clubs (through a representative) and Individual Members may attend the Annual General Meeting, but have no right to debate or vote.
Life Members may attend and debate but have no right to vote.
Voting by Proxy
Pursuant to Rule 25.3, proxy voting is permitted at the Annual General Meeting. It is understood that all STTAs will be represented by a delegate, and that proxy voting will not be required. If this is incorrect and any STTA wishes to vote by proxy, please contact the Company Secretary to ensure arrangements can be made under Rule 25.3.
